Scope of persons who can be provided with information about a company is restricted.
The new Company Law restricts access to information from the following documents:
• accounting (financial) documents and statements (record of income and expenditure);
• minutes of the board of directors (supervisory board);
• minutes of the collegial executive body.
This information may be provided to shareholders who together hold 10% or more of the total number of shares (stakes) in the company. However, this threshold may be lowered by the company’s articles of association.
The new rules establish an imperative term for providing information about a company to its shareholders – no later than ten calendar days from the date of their request.
As before, the method and procedure for providing information about the company must be set forth in the company’s articles of association.
The new rules came into legal effect on 28 April 2021.
