Newly created: the possibility for shareholders to make gratuitous contributions to company property.
In order to provide financial and economic support for a company, its shareholders have the right to make gratuitous contributions to company property. These do not lead to an increase in the company’s statutory fund or a change in the size of the shares (par value of shares) owned by the shareholders.
As in the case of the statutory fund, a contribution to company property may consist of things, including money and securities, other property, including property rights, or other alienable rights whose value can be estimated.
Property contributed in this way must belong to the participants by right of ownership, right of economic management or operative management.
These contributions to company property are made on the basis of an agreement concluded between the shareholder and the company.
No contribution may contradict the existing prohibition on gifts between commercial legal entities, since the relevant exception will be provided for in the Belarus Civil Code.
Provision of financial and economic support to companies is possible after the entry into force of the new version of the Company Law, i.e., from 28 April 2021.
